Breakaway Solutions is not responsible for delays, errors, missed deadlines, performance issues, or losses caused by incomplete information, delayed feedback, missing access, inaccurate client materials, late approvals, unpaid invoices, or changes requested by the client.
6. Proposals, Quotes, and Service Scope
Any proposal, quote, estimate, or service description we provide is based on the information available at the time.
Unless stated otherwise in writing:
- Proposals and quotes are not open indefinitely
- Pricing may change if the scope changes
- Additional work outside the agreed scope may require additional fees
- Timelines are estimates and may depend on client feedback, third-party platforms, technical complexity, and project requirements
- We may recommend changes to scope if new issues, risks, or requirements are discovered
Work outside the original scope may include additional revisions, new pages, new campaigns, extra integrations, emergency fixes, custom functionality, technical troubleshooting, platform migration, content rewrites, additional meetings, or work caused by third-party issues.

8. Late Payments and Paused Work
If payment is late, Breakaway Solutions may pause services, delay deliverables, suspend support, stop campaign work, or postpone launches until the account is brought up to date.
The client remains responsible for amounts already owed, even if services are paused or cancelled.
Breakaway Solutions is not responsible for losses, downtime, campaign disruption, missed opportunities, platform issues, or delays caused by non-payment or paused work.
9. Cancellations and Refunds
Monthly services may be cancelled with 30 days’ written notice unless a different cancellation period is stated in a signed agreement.

- Cancellation does not remove responsibility for amounts already owed
- Work already completed, scheduled, or committed may still be billable
- Prepaid work may not be refundable unless agreed in writing
Unused advertising spend is handled through the applicable advertising platform or client-owned ad account. Breakaway Solutions is not responsible for refunding ad spend paid directly to platforms such as Google, Meta, LinkedIn, Microsoft, or other advertising providers.
10. Ownership of Work
Unless stated otherwise in writing, after the client has paid all amounts owed for a specific project or deliverable, the client owns the final custom deliverables created specifically for them.
Final custom deliverables may include completed website pages, approved copy, approved designs, approved ad creative, final strategy documents, configured campaigns, or other completed work specifically created for the client.

11. Portfolio, Case Studies, and Marketing Use
Unless the client requests confidentiality in writing, Breakaway Solutions may reference completed work in its portfolio, website, proposals, sales materials, social media, or case studies.
This may include the client’s business name, website, project type, screenshots, general description of the work, or high-level results.
Breakaway Solutions may also use anonymized results, examples, insights, or performance improvements in marketing materials, provided they do not disclose confidential client information.
Case studies, testimonials, examples, statistics, and past results are for informational purposes only. They do not guarantee future results.

Clients are responsible for ensuring their use of AI, automation, and generated content is appropriate for their industry, customers, legal obligations, and risk tolerance.
Breakaway Solutions does not provide legal, medical, financial, tax, insurance, compliance, or regulated professional advice through AI tools or automations.

Clients remain responsible for their own internal security practices, employee behaviour, access permissions, passwords, account ownership, device security, insurance coverage, and regulatory obligations unless otherwise agreed in writing.
17. Access, Passwords, and Account Security
Clients may need to provide Breakaway Solutions with access to websites, hosting accounts, domains, ad accounts, analytics platforms, CRMs, email platforms, cloud systems, software tools, or other business systems. Clients agree to provide access using secure methods where possible.

- Enabling two-factor authentication where appropriate
- Removing Breakaway Solutions access after the service relationship ends if they want access removed
- Managing access for their employees, vendors, and other contractors

18. Confidentiality
During the course of working together, each party may receive confidential or sensitive business information from the other.
Breakaway Solutions will take reasonable steps to protect confidential client information and will not intentionally disclose it except as needed to provide services, operate our business, comply with legal obligations, work with approved service providers, or as otherwise permitted by agreement.
